Report: Clear Channel Deal Collapsing

SAN ANTONIO — Shares of Clear Channel Communications Inc. plummeted in late trading Tuesday, following a report that the media company's private buyout is on the brink of collapse.

Shares fell $1.89, or 5.5 percent, to end regular trading at $32.56, then fell 21 percent in after-hours trading to $25.82 _ far below the $39.20 per share the buyout firms promised shareholders.

The Wall Street Journal reported on its Web site Tuesday that the private equity firms leading the $19.5 billion buyout were having difficulty reaching terms with the banks committed to financing the deal. The report cited unnamed people familiar with the matter.

A person familiar with the situation, who declined to be named because the person isn't authorized to speak publicly about it, told The Associated Press that the equity partners, led by Thomas H. Lee and Bain Capital Partners LLC, are prepared to fulfill their obligation to fund and close the deal.

Some issues were still being worked out, the person acknowledged.

Because the stock has been trading below the buyout value, the lenders face the prospect of lending far more than the current market value of the company at a time when banks are already nervous about making loans. Failure to make good on previous lending commitments, however, could subject the banks to lawsuits.

Bain Capital said its executives were not commenting Tuesday. A call to a THL spokesman was not immediately returned, and Clear Channel referred calls to the equity partners.

The buyout deal, which has been plagued by delays since it was announced in November 2006, was scheduled to close March 31.

The deal was struck during the years of easy credit that preceded the current crunch that is pressuring the U.S. market. The Clear Channel buyout remains the largest pending buyout in the U.S., according to Dealogic PLC.

Clear Channel is the largest radio station operator in the United States and a billboard giant, with roughly 1 million signs worldwide.

I love this: Clear Channel is a right wingnut mouth piece. They certainly deserve any bad things that happen to them.

Clear Channel is where good radio went to die. Even beyond Limbaugh, Hannity, Schlessinger ( I won't call her Dr.) and all the other right wing imbeciles, CC bought great radio stations for way too much money, quantified programming in sheer numbers, made local talent shut up and cut out the listener's needs. There are very few radio stations in America that do communications. Very few address the needs and the news of the community. Way too comfortable people make asumptions about you, the listener, and those assumptions are usually wrong.

I have worked in radio for over 35 years. 10 years ago, they began to tell me that people don't want to hear this or that. They don't care about what you think. They don't want to hear music that they don't know.

I am of the opinion that people want to know whats going on in their town. They want to know what others think. They want to hear music that startles and delights them. They want variety. Billy Joel, Celine dion and Rod Stewart are not variety.

I work at a station in VT that does everything. News, Sports, Politics, Social Involvement, Rock, Jazz, Folk, alt Country, Napoleonionic Marches. Everything. The dedication is unbelievable. The listeners love WDEV because we connect with them and they with us. We often have our phone lines open for listener's participation...and they do!

So, CC, don't tell us what can't be done. America wants its radio back.

We need to watch this more closely. These cats are the number one reason that we've NO DIVERSITY OF OPINION on the radio. The far right wing voices that dominate fascist radio in America on behalf of a tiny segment of oligarchs are not funny: They're dangerous - dangerous to democracy and dangerous to prosperity in working America. Granted, Clear Channel has sold off some its smaller market clusters. But the beast that dictates that ALL we ever hear on the radio are neocon divisionists must be entirely taken down. We must boycott all right wing talk radio. Period. No exceptions. It's not like we don't have alternatives (community radio, public radio, podcasts, CD's, etc.). AND we must get to work on CONSTANTLY calling out the Clintons and McCains on the lies and distortions they will use (working in tandem) to guarantee the election of one or the other this November. Why? Because BOTH plan on fighting any return to the Fairness Doctrine. That's because they know that fascist radio in America moves voters, accounting for between 10 and 20 points in every national and state level election. Big business needs fascist talk radio to keep propagandizing working folks to work AGAINST their own best interests - voting for Hillary or McCain, voting against organized labor, buying products/services from underpaid overseas workers, etc.

It's interesting that you mention Clinton and McCain. McCain was Chairman of the Commerce committee and Clinton was the President who signed off on the consolidation of broadcast ownership. These two men, more than anyone , are responsible for the destruction of a great medium.

Their propaganda empire has been proven to be wrong about everything but maybe they can continue to find a way to subsidize it- it has made trillions for its benefactors in tax breaks and war profits so they might. Didn't know Clinton was against a new Fairness Doctrine.

The talk radio monopoly does the groundwork for the GOP.  Until America has some new form of Fairness Doctrine or some other way to limit the monopoly, bipartisanship is for liars or fools and democracy is just about impossible.

Talk radio has been the difference, even with other media consolidation (which was enabled to a large degree by the same TR monopoly). Since Reagan killed the Fairness Doctrine the Roves of the GOP have been framing with a nail gun while progressives have been using a rock.
Most political and media analysis is done while discounting or even ignoring the effect of the Republican talk radio monopoly. Most media analysts read and watch. There are no talk radio transcripts to search to analyze to demonstrate the power of that coordinated uncontested repetition that reaches 50-70MIL Americans 24/5/365 and is used by the Roves and Norquists like an invisible hammer to whack their opponents in the democratic party and anyone in the media who would dare to criticize their annointed leaders and irrational policies.

What will the right wing pundits have to say about the demise of their flagship? I feel so sorry for Limbaugh, Beck and Ingraham. NOT!!! What goes around, eventually comes around. But that still doesn't excuse CNN for hiring Beck. Like Limbaugh and Ingraham, he is a bombastic blowhard that shows his racist tendencies for all to see. Sounds like he really belongs at Fox News.

I think part of their problem is that they foresee the hammer falling when Obama or Clinton take office. The reregulation of the media is looming on the horizon, and ClearChannel's monopoly in many areas is at risk. Too bad there aren't more Progressive venture capitalists out there like Mark Green and George Soros to buy up a company like this at firesale prices. That would definitely jumpstart Progressive Talk Radio.

By the way, Thom Hartmann is currently carried by some ClearChannel affiliates, so it isn't all politiical. Thom's show is extremely profitable, and even they can't stay away from that. No idea why they pulled San Diego, though...

This will just be used by the Bush administration as further proof that we need MORE media consolidation in order for the Clear Channels of the world to survive. Like Bear Stearns, it will be determined that this media behemoth, which just happens to be a major conduit of Republican propaganda, is "too big to fail."
