DETROIT — Shares of Ford Motor Co. soared 16 percent Monday after the company said it completed tender offers that will reduce its debt by 38 percent and shave millions of dollars off its interest costs.

The automaker retired about $9.9 billion in securities in exchange for cash and shares under terms of the debt buybacks.

Combined, the moves are expected to reduce the Ford's interest expenses by more than $500 million this year, as it tries to weather the worst auto sales downturn in 27 years.

The Dearborn, Mich.-based company said it will pay a total of $2.4 billion and issue 468 million shares as a result of the offers.

Shares of Ford rose 52 cents to close at $3.77 Monday.

About $4.3 billion in Ford's senior convertible notes were tendered under an offer that expired Friday. Up to $344 million will be used to pay cash premiums to note holders.

A separate offer to repurchase notes from its financing arm resulted in $3.4 billion in securities being tendered. Ford Motor Credit will use $1.1 billion to purchase that secured term loan debt.

Ford Motor Credit previously said a second cash tender offer that expired on March 23 was "over-subscribed," and it doubled the amount of cash it would spend to buy back the debt. That resulted in the use of $1 billion to purchase $2.2 billion in term loan debt.

Its total debt was reduced to about $15.9 billion after the buybacks.

Neil Schloss, Ford's treasurer, said that the reduction is in line with how much competitors General Motors Corp. and Chrysler LLC were asked to cut as a requirement of $17.4 billion in federal loans. Those companies have yet to reach an agreement with their debt holders.

The government's auto task force has already asked GM and Chrysler to cut their total unsecured debt by two-thirds or more in order to receive additional funds. Ford is not seeking government aid, but its overall debt reduction effort has already amounted to more than two-thirds of its unsecured debt.

"We believe this was a very successful transaction," Schloss said, adding "we're going to watch closely what our competitors are required to do."

A Standard & Poor's Equity Research analyst reiterated his "Hold" on Ford Monday, in light of the offer results, but said the company still faces a tough sales year.

"In addition to lowered interest costs, the reduction improves Ford's balance sheet," said analyst Efraim Levy. "We still project sizable losses at Ford in 2009, and note that the failure of competitors or key suppliers could further complicate Ford's situation and cause it ask for the government loans that it is trying to avoid."

S&P's Ratings Service, however, lowered its corporate credit rating on Ford to "SD," or "selective default."

"We consider the completion of the tender offers to be distressed exchanges and, as such, are tantamount to defaults under our criteria," S&P Ratings credit analyst Gregg Lemos Stein wrote in a report Monday.

He said S&P would assign a new corporate credit rating on Ford later this month, but does not expect it to be a positive one.

"Even with this debt reduction, our preliminary expectation is that the new corporate credit rating will likely not be higher than the 'CCC' category initially because we believe Ford's fundamental business risks remain unchanged for at least the rest of 2009 and perhaps longer," he said.

Schloss said no other debt exchanges are planned for Ford and Ford Motor Credit at this time, but the company would "evaluate that" if GM and Chrysler were forced to cut more debt.

"We don't have the plans to do it," Schloss said. "We're going to make sure we stay competitive and do it on our time."

Ford has been the first automaker to reduce its debt and modify its contract with the United Auto Workers union to cut costs. In addition to eliminating bonuses and cost-of-living increases for workers, Ford also agreed to make up to 50 percent of payments to a union-run trust for retiree health care benefits in stock instead of cash.

Schloss said the moves give Ford "a much stronger balance sheet."

Ford Motor Credit is also participating in the Treasury Department's Term Asset-Backed Securities Loan Facility, or TALF program. The division is offering new bonds that take advantage of the program, in which investors can obtain TALF funds to purchase the bonds that fund consumer and dealer loans. Ford Motor Credit offered the asset-backed securities in four tranches totaling $2.95 billion last month.

"We were the first ones in on the March deal," Schloss said. "We will continue to look at TALF as a great funding deal as it gets more investor support."

People really have ADD over here !!

one good news and suddenly their products become great again !! haah.

Ford still makes sucky products. However, their management showed great aptitude in this tough credit market to restructure debt (i never thought it was going to happen !!). great move by management.

but they still make crappy cars nevertheless.

They MADE crappy cars. During the past couple years Ford cars have done a lot better in reviews. Maybe their quality doesn't hold up over time. I don't know. But in recent reviews Ford has been doing well. So if you stop by auto news websites every now and again, you'd be hearing about that.

That's not to say that all of a sudden all Ford products are the best in the world. But there is a lot more positive news coming out these days about their products. But the SUVs especially the larger ones are still a little average or worse in reliability surveys.

Ford seems to be much better managed than GM or Chrysler. I really like my 8 yr old Buick but I doubt I will buy another one. I am not very comfortable with the idea of Obama handling my Muffler Repair or whatever.

I just looked at the new Ford Fusion Hybrid. 41 mpg city , 36 highway, for a 5 passenger midsize sedan.
That is just outstanding. Better than the Toyota Camry Hybrid. And the Fusion is a great looking car and per Consumer Reports, the Quality is equal to or better than Honda or Toyota.

I liked the fusion when I drove it. It was pretty roomy, and just a tad bit of a rough ride. And I am a pretty big guy to fit into the car.

I have a hybrid vehicle from Ford and really like it.

This is going to play really well for the Ford in the media and among the stronger American car demographics, which tend to be more fiscally conservative.

These are debt-to-equity conversions, where dividend- and/or interest-bearing debt is retired in exchange for common stock that doesn't yield anything other than the possibility the someone will buy it from them at a higher price at some point in the future.

So Ford isn't repaying $10B in debt. It's more like a default. So S&P isn't so pleased, but I am.

Unsustainable debt has to default to allow the money supply to keep pace with outstanding debt obligations. It's the only way that money can become unglued from the debt that created it and would otherwise destroy it.

Preventing bad debt from defaulting ultimately causes good debt to default.

Ford's bondholders deserve more of the credit for these deals than Ford's management. They faced up to the reality of the situation and took a major haircut to avoid drowning the company and losing their investment. I can only hope that other bondholders will follow this positive example.

We've had 6 new Fords or Mazdas made in US Ford plants in the last 20 years. All have been great vehicles; reliable and fun to drive. I believe they are going to survive because they are years ahead of GM and at least a decade ahead of Chrysler.

i second that, ive owned now 6 fords and 1 dodge, i owned the dodge for 1 year and traded it in upside down back into a ford. the quality is aparent from the first drive. GO FORD

Yes they do! When we went to one of the auto shows, they had a small Ford car that is supposed to be all electric - due out in 2011 or 2012.

We have always driven Fords, and I am thrilled that they probably will make it out of this economic calamity. We bought a Focus last year so we aren't in the market to buy anything for some time. But I could not imagine buying anything made in those foreign car plants in the south. Honda, Toyota, etc., have no allegiance to this country, and would never do anything to help this country if it meant a loss to their shareholders. If it weren't for the UAW, those plants in the south would be paying workers as close to the minimum wage as they could get. They have to be competitive or face unionization moves. So the very thing that these southern senators complain about (unions) is the same thing that supports the wages of those working in the foreign car plants in their states.

This is a smart move because when they are profitable, the interest on debt equity is a great way to reduce tax liability. In times when they are unprofitable, the interest on debt is a sinkhole for desperately needed cash with no tax benefits.

Ford has two things going for it the other US car makers do not....

Even as far back as the early 70's, Ford was flexible enough to offer some economy cars like the Pinto, yet smart enough to redesign the Mustang, a popular model, to be better on gas. The Ford Escort and now the Focus has shown that Ford can produce cars that fit the needs of the consumers.
History proves it. The Taurus and Escort models were the top sellers for a decade while GM and Chrylser were trying to breath life into less practical cars.
As for the trucks, Ford's F-150 series has been a consistent top seller. I've owned a smaller Ford Ranger for 8 years and have had nothing but good to say about it's economy and quality.

GM and Chrysler for the last decade have gone for 'bigger is better" with new models like the Camaro, Charger, 10 cylinder Ram trucks and SUVs, all gas guzzlers. All the "turbo-hemi-horesepower-supersport" jargon aside, these vehicles are overpowered. What sense is there in making a car that goes so far above the posted speed limits? It's the pinnacle of hubris and impracticality. Make something you can never fully use (or be penalized for using it all).

Americans have begun to shed the status symbols and are looking for realistic solutions to their driving needs. GM and Chrysler haven't been paying attention.

You call Camaro a gas guzzler based upon your perception of performance cars. We are all sometimes guilty of presenting our perceptions as facts but it doesn't mean that its a good practice.

The V8 version of the Camaro provides the same or better highway gas mileage statistics as every minivan on the market.

I'm not an apologist for Detroit and in fact I drive a foreign automaker's car but I think its important to share facts with everyone and not biases and personal perceptions of reality. Because some people really do take these posts to heart. So I urge you to fact check your accusations before posting as a courtesy to the rest of us.

Ford is right on track in quality, as well as user-value - while GM and Chrysler are so far behind Ford in these areas, that they disappear under the horizon in the rear mirror.

Ford have some great fundamentals in their global operations. I'd like to see them bringing their incredible European lineup to market in the USA, as the Fords on sale there are simply the best vehicles in their market sectors.

If Ford can start building and selling those stylish BMW-blasters and economical small city cars in the States then the other auto makers will have a real fight on their hands. I have tried them, they are way better value than German imports and every bit as good in quality and style.

Well I don't know if I agree with you on the GM thing. As a college student I have been driving my Dad's old Buick for about 3 years and nothing ever goes wrong with it. My Mom's Ford Winstar on the other hand is Nickel and Dimeing then to death. People don't see quality in GM's Buick line because noone drives them but old people. I like Ford's newer models and hope they continue to do well; now if GM could only get its act together.

That being said, I have to say Kudos to them. In this credit market, to have debt restructured is AMAZING FEAT. Bravo to you Ford.

Maybe a lesson to GM and Chrysler in how to restructure your debt without govt help ?

The shareholders are getting diluted HEAVILY. normally it should be down, but we are not in a normal market haha.

F stock is up because even after dilution, its still better than 0 (which the shares would be if F had to file for bk in a few months).

F shareholders are thinking, which is better.

0 if F goes bankrupt due to the debt burden

something above 0 after dilution :).

Ford is comparable to Toyota and other import brands in reliability as per Consumer Reports and J.D Power. The vehicles that Ford designs and sells in Europe are more impressive than is generally known.
The big mistake that Ford made was letting the Taurus die on the vine by not making it competitive with the Camry and Accord. The Taurus was still a decent mid size when it stopped production in the Georgia Plant in 2006. But Ford permitted it to lag and placed resources toward the SUV market. Ford and other automakers preferred the SUV/Truck market because that is where the profit is. Toyota and Nissan and the other import brands are no different in that respect. If one were to ask a sales manager/sales rep at a Toyota dealer "what would you rather sell more of each month a Corrolla or a Big Sequioa SUV"? hands down the Toyota dealer would like to move as many new and used SUV's off dealer lots as possible.
Small cars, small profits apply to import brands as much as the domestic automakers.
