SEC Accuses Sam And Charles Wyly, Billionaire Dallas Investors, Of Insider Trading Yielding $550 MILLION

DALLAS — Sam and Charles Wyly, Dallas billionaire investors known for their support of conservative candidates and causes, made $550 million in undisclosed profits through 13 years of insider trading, according to a Securities and Exchange Commission lawsuit filed Thursday.

In a 78-page complaint filed in a Manhattan federal court in New York, the SEC said the Wylys held and traded tens of millions of shares in companies on whose boards they served and "defrauded the investing public" by misrepresenting their ownership and trading of those stocks.

"The apparatus of the fraud was an elaborate sham system of trusts and subsidiary companies located in the Isle of Man and the Cayman Islands ... created by and at the direction of the Wylys," the SEC complaint stated.

Using this offshore system, the Wylys were able to sell stock worth more than $750 million in four public companies where they served as corporate directors. They also committed an insider trading violation at one of the companies that resulted in an unlawful gain of over $31.7 million, according to the complaint.

The complaint lists the four companies as Michaels Stores Inc., Sterling Software Inc., Sterling Commerce Inc. and Scottish Annuity & Life Holdings Ltd., which is now known as Scottish Re Group Ltd.

"The cloak of secrecy has been lifted from the complex web of foreign structures used by the Wylys to evade the securities laws," Lorin L. Reisner, SEC deputy director of enforcement, said in a statement Thursday. "They used these structures to conceal hundreds of millions of dollars of gains in violation of the disclosure requirements for corporate insiders."

The Wylys' defense attorney, William A. Brewer III of Dallas, called the charges "without merit" and said the Wylys "intend to vigorously defend themselves - and expect to be fully vindicated."

"At worst, the claims appear to represent an after-the-fact justification for a misguided six-year investigation," Brewer said in a statement issued by his law firm.

In March, Forbes magazine estimated Sam Wyly's net worth at $1 billion. He has given generously to Republican causes and candidates, including the Swift Boat campaign that helped re-elect President George W. Bush in 2004 by tarring his Democratic opponent, Sen. John Kerry.

The Wyly brothers, with their wives, have donated almost $2.5 million to more than 200 Republican candidates and committees at the federal level over the past two decades, according to the nonpartisan Center for Responsive Politics.

Both Presidents Bush received donations from the Wylys. Other recipients included current and former Republican senators: Kay Bailey Hutchison, John Cornyn and Phil Gramm of Texas; Sam Brownback and Bob Dole of Kansas; Elizabeth Dole of North Carolina; Mel Martinez of Florida; Judd Gregg of New Hampshire; John Thune of South Dakota; and Kit Bond of Missouri.

Also named as defendants in the lawsuit are the Wylys' investment attorney, Michael C. French of Dallas, who was accused of covering the operation "with a false cloak of legality that was essential both to its concealment and its execution. Another defendant was the Wylys' stockbroker, Louis J. Schaufele III of Dallas, who was accused of using his position to conceal and misrepresent the Wylys' control over the securities and making insider trades himself.

Attorneys for French and Schaufele had no comment Thursday.

~ Sam and Charles Wyly, Dallas -- skyrocketed into obscene wealth by bringing an irresistible investment plan to the GOP and their Corporate players (let's just refer to them as GOPangs for now) with a proven record of hardcore, run-your-grandma-over-for-a-buck approach to power and money --

In turn, the GOPangs held the back door open for the Wylys 'creative' investment practices with the understanding that - so long as the Wylys followed THEIR wealth-sharing plan .. said door would remain open --

All that is required to keep this circle of jerks wiping each other's behind is a little political maneuvering - which means GOPangs have to remain in key political positions - and that takes lots and lots of funding.

Occasionally, a Wyly (or two) will get knocked off his horse - but hey - there are plenty more Wylys out there.

Martha Stewart spent five months in jail for a lying under oath about few tens of thousands of dollars from a stock trade based upon inside information. Only time will tell if these two well connected Texas conseratives will ever see the inside of a country club prison regardless of the course of the trial. Look at how well Citi Execs just did with the current toothless SEC and a 40 billion dollar lie, no trial at all, and a very, very small penalty to sweeten the crime's profits.

So, is the government going to seize their assets up front, a la drug busts, and force them to defend themselves with public defenders? Not a chance, even though they have victimized an entire country. At least drug dealers only victimize those who play with drugs.

Im telling you guys the south used to be the safest place in the world to do business. We really believed in character and that a man's word meant something. Over the last few decades this perverse gloom that somehow down here in the south we are victims of the rest of the countrys greed has really changed the business atmosphere down here. It's third worldish. It's like trying to do business in Africa. You just never really know who the person is you are doing business with. It really does hurt as a born and raised Texan It truly pains me to see what the south has become. We pride ourselves in voting against our own self interests as though it is a decleration of our own independance. We as a people actually believe that working together is a decleration of weakness that somehow you are only a man if you are truly standing alone. Its just very twisted logic prevailing down here right now. It would take so much more to explain it, but just really hear me folks. The South is a troubled place right now.

It's helpful to hear your perspective as you are born and bred. It can be very hard to
understand what is happening down there, as there seems to be such a disconnect between
the red and the blue states. I have to say I visited the south many years ago when my sister was living in Georgia and I loved the south, the beautiful country and the friendliness of the people. I enjoyed your comments "voting against our own self interest as though it is a declaration of our own independence" and "people actually believe that working together

I believe it's the " Us against them" syndrome that has a philosophical root more than a geographical one. One could argue that that " philosophy" is more deeply entrenched in the south , but it is not exclusive to it. The hard turn to the right by many folks who are good and decent people is perhaps the most troubling for me. In a one on one conversation you find caring and compassionate folks who generally are a bit to the right but far from extreme. Let some fast talking snake oil guy stand on a soap box, within ten minutes of fear mongering, not so subtle race baiting, and anti government rhetoric, and the implied " the south will rise again crap" and you have a crowd whipped into a frenzy looking to drop out of the union with no clue as to what the ramifications of that move would be. ( illegal as it may me)
These people are not stupid, so what explains this? Is it as simple as group think?

Sam Wyly's book "1000 Dollars and An Idea-Entrepreneur to Billionaire" was presented to our library free of charge a few months ago. I pretty much ignored it, until now ofcourse. I am waiting for more details to come out in the investigation so I can read how he describes these deals in his book. I've only skimmed it so far and saw that one of the people he went to for money was Mike Milken. Calls the guy a genius, and I quote"The world owes a debt of gratitude to Mike Milken and his creative team." I can only hope at the end of this that he does more time than Milken.
