Facebook S-1 Amendment: New Stats From Q1 2012 And More

Facebook S1 Amendment

Facebook on Monday filed an amendment to its S-1 documents originally submitted to the U.S. Securities and Exchange Commission on February 1.

With its IPO date reportedly set for May 17, the social networking giant has published new stats that reflect growth and revenue over the last fiscal quarter, which ended on March 31. In addition, Facebook recently announced plans to acquire photo-sharing app Instagram and to purchase a large number of AOL patents from Microsoft.

Here are some key stats from the amendment:

  • Monthly active users now total 901 million (up from 680 million a year ago).
  • Daily active users are up to 526 million (up from 372 million last year).
  • Monthly mobile users now total 488 million.
  • 300 million photos are uploaded to the site each day.
  • 3.2 billion Likes and Comments are posted daily.
  • 125 billion friendships are forged per day.
  • Facebook will pay $300 million in cash, plus 23 million shares of common stock for photo-sharing app Instagram.
  • If the Instagram deal falls through, Facebook will pay $200 million.
  • Revenue for the first quarter of 2012 was $1.058 billion, up from $731 last year.
  • Net income dropped to $205 million for the quarter, down from $233 last year.

(As pointed out by TechCrunch, the total value of Facebook's Instagram deal -- cash and shares included -- totals $1,010,470,000.)

The company also added some new risk factors to its S-1, including one outlining the inherent risks of Facebook's ongoing patent battle with Yahoo.

From the filing:

[O]n March 12, 2012, Yahoo filed a lawsuit against us in the U.S. District Court for the Northern District of California that alleges that a number of our products infringe the claims of ten of Yahoo’s patents that Yahoo claims relate to “advertising,” “social networking,” “privacy,” “customization,” and “messaging.” Yahoo is seeking unspecified damages, a damage multiplier for alleged willful infringement, and an injunction. We intend to vigorously defend this lawsuit, and on April 3, 2012, we filed our answer with respect to this complaint and asserted counterclaims that Yahoo’s products infringe ten of our patents. This litigation is still in its early stages and the final outcome, including our liability, if any, with respect to Yahoo’s claims, is uncertain. If an unfavorable outcome were to occur in this litigation, the impact could be material to our business, financial condition, or results of operations.

Facebook expects to raise $5 billion in its IPO, which may value the company at close to $100 billion. The company will trade on the NASDAQ under the ticker symbol "FB."

The company now employs 3,539 people full time, according to its S-1 amendment.

I am not a Facebook fan, always forget the password. Problem is we're forced to use FB on several sites because its trendy. Most of MSN and many others are facebook, so if you want to comment, you are forced into using it. I'd use FB for family stuff, but the rest? It is a trend that hopefully will go away.

I'm on facebook for like you family sometimes. As far as my password goes , I know what it is, but I intentionally type the wrong password in. They said sry try again, and again I put in the wrong password. Then they get real insistent, they email me. I delete their email.

How do you think your reading and replying to posts on HP is any different? You've got 114 fans here, that's not much different than collecting friends on facebook. You're already willfully engaging in a large part of what facebook has to offer yet somehow you think facebook is below you. For those who are concerned about everyone knowing your buisness on FB:
Only those you CHOOSE to know will know. and ONLY what YOU tell them. So whats the problem. Not all of us post drama. Its a GREAT tool to help keep in DAILY touch with family and friends who dont live close and even a BETTER way to share photos. I LOVE my FB and would never give it up willingly, But I have some sense and know HOW to properly use such a tool. I guess most of these posters dont. We knew of a six year old child that was in SEVERE physical need adn within 3 days thousands of people all over the world were sending well wishes and prayers for his recovery. The child almost died. He was 6 now 8. We held a nation wide prayer for him (thanks to FB) and the child recovered. Even his doctors couldnt explain HOW he recovered and seemingly overnight......but it was due to prayer....and due to FB helping us get the word out SO FAST to SO MANY. People we didnt even know were sending prayers. SO yeah...I LOVE my Facebook. Say what you will....I believe in prayer and I believe it saved his life. ANd FB was a tool used to spread the word SO FAST.

From my FB page last night... Thank You Facebook for reconnecting Pam and me.... An unbelievable day...I finally got to talk to her on the phone and it was like two lost siblings reunited..After 20 years..My heart stopped..And I believe so did hers..I can't really describe how emotional I felt..I called everyone in my family..They all became FB friends with Pam...But I know that she knows that she fooled me on the phone after her sister Candy Arnold sent me a FB message that Pam was in bad shape...I freaked out and called her. When Pam answered she said... No I'm fine.. Are you kidding..My sister did that..Ha Ha ha...We talked for 45 minutes..I had two calls trying to come in..I told here I had to go...The last things we said was ..I love you Pam..She said in a mimicking way..I love you too Robb...Don't worry...So I didn't.... Pam Passed Away Yesterday

Same here! I do not do FB nor will I ever. My daughter has a FB but she hates it now and never gets on it and FB constantly sends her emails wanting her to come back and how FB misses her. I'm glad she doesn't mess with FB anymore.
