WASHINGTON — General Electric Co. said Wednesday that Chairman and Chief Executive Jeffrey Immelt will forgo a 2008 bonus and performance awards worth millions of dollars after the company's earnings fell last year and its stock price plunged amid a deteriorating economy.

The Fairfield, Conn.-based conglomerate, which makes everything from locomotives to household appliances, said in a filing with the Securities and Exchange Commission that Immelt will not receive his $11.7 million long-term performance award. Immelt received a base salary of $3.3 million, unchanged from 2007, but no bonus. In 2007, GE paid Immelt a $5.8 million bonus.

The actions amount to a 64 percent reduction in Immelt's cash compensation compared with a year earlier.

Immelt said in a statement that GE's board of directors took the steps at his urging because of the company's sagging performance. Earnings were down 22 percent in 2008 as the growing recession battered the company's industrial division and its lending arm, GE Capital, struggled with mounting loan losses. Company shares lost more than half of their value last year and are already down 33 percent in 2009, trading at levels not seen since the mid-1990s.

"Earnings came in well below where we expected. The broad equity markets, and GE's stock price, declined significantly in 2008. In these circumstances, I recommended to GE's Board of Directors that I would not receive a bonus for 2008," Immelt said.

Chief Financial Officer Keith Sherin and Michael Neal, chief executive of GE Capital, received 2008 bonuses 15 percent and 25 percent below their prior-year payments, respectively. The two executives both declined half the amount earned under their long-term performance awards, which means a $2.6 million reduction in Sherin's payment and a $2.9 million reduction in Neal's payment.

On average, GE reduced the size of its executive bonuses by 19 percent during 2008.

Immelt's total 2008 compensation was $5.7 million, down from the $14.2 million he received from GE in 2007. The total includes his base pay, $372,000 worth of perks and benefits that included $189,449 for use of company planes, and $2 million for equity awards.

The AP's calculations of total pay includes salary, bonus, incentives, perks, above-market returns on deferred compensation and the estimated value of stock options and awards granted during the year. The calculations exclude changes in the present value of pension benefits, and they sometimes differ from totals companies list in the summary compensation table of proxy statements filed with the SEC.

GE said in December that it will shrink the size of GE Capital, which provides loans ranging from home mortgages overseas to financing for large energy projects. The company plans to reduce GE Capital's reliance on risky debt and cut its work force during the restructuring. GE has injected its own money into GE Capital, taken part in federal programs designed to ease credit markets, and raised $15 billion from Warren Buffett's Berkshire Hathaway and other investors through stock sales.

Meanwhile, GE forecasts income growth ranging from flat to just five percent in its industrial units that make jet engines, power plant turbines, light bulbs and other products.

Many investors believe GE will be forced to cut its dividend, now forecast at $1.24 for the year, if it can't generate enough cash flow for the quarterly payouts. GE has already paid half of the dividend, but the company said recently that it will evaluate its dividend payments for the rest of the year.

The company also risks losing its rare "AAA" credit rating this year because of GE Capital's woes. Ratings agencies Moody's Investors Service and Standard & Poor's are both reviewing their top ratings for GE this year.

GE said in its proxy filing that while Immelt did not reach the financial goals the company set for him in 2008, the company's board believes he "performed well in an extraordinarily tough business environment."

"Mr. Immelt adapted the company to rapidly changing and deteriorating economic conditions that emerged after the goals were set," the proxy states.

Shares of GE were down 2 cents at $10.80 in morning trading.

Just like Wall Streeters and the corporate CEOs there is no accountability when companies perform badly. The bigwigs ST.ILL get PAI.D. Unlike the peons doing all the work whose bonuses and merit awards are based on performance, the CEOs are exempt and their perks are protected.

Jack Welch made a ton of money from GE and now they have him on mourning joe yapping like he is the bigwig with all the ideas. It is sickening to watch how they slurp every word that old, rich, rich man spews.

Walsh helped to bring to an apex the definition of corporate coldness in the pursuit of profit, hidden under the guise of efficiency in productivity. Under his 10 percent turnover theory, those ranked in the bottom 10 per cent of their group should be gotten rid of each year in order to improve productivity. Think how this would have worked at Alamagordo on the Manhattan Project. "We've decided that even though you are one of the top ten genius's in the field, we're letting you go because we ranked you as the bottom member of this group".

Fine, if the company tanks then the long-term performance has been sucking. General Electric has existed just about as long as electricity has been a marketable venture, back into the late 19th century. If a business like this is falling, then it is time for some over paid CEOs to fall on their collective swords.

It's time to face reality---some people have been paid far too much for their work, period.

What a shock. "Standard & Poor’s recently adjusted GE’s outlook to negative from stable, the first step toward a possible downgrade of its Triple-A credit rating". "General Electric Co reported a 44 percent drop in quarterly profit. GE derives half of its $150 billion revenues from outside the country". While he has waived his right to performance-based bonus of $12 million in cash, he still apposes caps on CEOs salaries. BO should find place in his cabinet...­.uh well.....i­f he paid his taxes.

Jack Welch is the guy the destroyed G.E....

He put them in the financial services business and bragged about it on Charlie Rose, taking them out of their core business as the world's greatest and largest manufacturer to now losing what 46% or so which guess what is just about the portion of their profit that came from this venture into the ether..!

So now you know you heard it first here, Jack Welch has destroyed G.E....

It will survive but never be what it once was, or otherwise would have been..

Hmmm.... I will be lucky to get a 2% raise this year and the company I work for is doing very well.

How on earth can GE offer ANY employee abonus at all if they are NOT doing well, much less $11 million to the CEO of the whole mess.

Thank goodness these companies and CEO's are under the "microscope" now... they now see that it ain't reall fun for the great unwashed masses to see the joy ride they have been taking for years.

I do not know who or what started us all nit-picking at the salaries these company officers are getting, but I am VERY thankful for it.

Jeffrey Immelt supported Obama and has been quite vocal about increasing spending in our public schools. I think he's one of the good guys that's lucky and talented enough to be in a position of power.
Let's not criticize people who are at least trying to do the right thing, where does that get any of us?

He didn't have to do this and maybe if he can lead on this. Some others may actually think they should put something back instead of taking it out. It's time the top earners contribute to the mess we are in as a group. How about him and Buffet & Gates forming a group to contribute to the recovery of this country. It was done back in 1907 or somthing like that when we were (as a country) needing help. There are plenty of people that could do this if they truly appreciate what thic country has done for them.

J.P. Morgan put up his own money --and convinced other bankers to put up their own money -- to stabilize the banks. This was before the FDIC, so their actions were credited with preventing an economic disaster. We need more J.P. Morgan's today. There aren't enough of these guys today that realize that profit and the greater good aren't mutually exclusive concepts.

Gee thanks Jeff.

I worked at GE for many years. Was rated at the top of my department (Yes, GE ranks its employees). Was laid off so you could outsource my job to a cheap competitor. And since Jeff took over my stock has went from boom to bust. Perhaps I wasn't the one who should have been let go ...
